Florida LLC Annual Report: Deadline, Cost, and the $400 Late Fee (2026)
Every Florida LLC must file an annual report between January 1 and May 1. Miss May 1 and it costs $538.75 instead of $138.75. Miss September and your LLC is dissolved. Here's everything you need to know.
Forming your Florida LLC isn't a one-time event. Every year, the state requires an annual report to keep your business in good standing, and the penalty for forgetting is steep.
The Deadline: January 1 to May 1
The Florida Division of Corporations accepts annual reports from January 1 through May 1. Your first report is due the calendar year after your LLC was formed. Form an LLC in October 2026, and your first report is due between January 1 and May 1, 2027.
What It Costs
- Filed on time: $138.75
- Filed after May 1: $538.75 (the $138.75 fee plus a $400 late fee)
The $400 late fee applies to every for-profit corporation, LLC, and limited partnership. There's no grace period. A report filed May 2 costs nearly four times as much as one filed May 1.
What Happens If You Don't File at All
If the annual report isn't filed by the third Friday of September, the state administratively dissolves your LLC at the close of business on the fourth Friday of September.
Administrative dissolution is more than a paperwork problem:
- Your LLC is no longer in good standing, which can block bank loans, contracts, and licenses.
- Your business name can become available to someone else.
- Operating as a dissolved entity can weaken the liability protection the LLC was meant to give you.
How to Reinstate a Dissolved LLC
You can reinstate through Sunbiz by filing a reinstatement and paying:
- A $100 reinstatement fee, plus
- The annual report fee for each year you missed
Reinstatement generally relates back to the date of dissolution, but it's far cheaper and simpler to never let it lapse.
What the Annual Report Asks For
It's short. You confirm or update:
- Principal and mailing address
- Registered agent name and address
- Managers, members, or authorized representatives
- FEIN (your EIN), if you have one
It's also a good moment to check that your registered agent is still correct. A lapsed agent means you could miss legal notices.
