By accessing or using Taxpert OS ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Description of Service

Taxpert OS is a tax strategy analysis tool that provides educational information and general guidance about tax optimization strategies. The Service analyzes user-provided financial information and generates reports based on publicly available tax laws and regulations.

3. Not Tax Advice

We are not responsible for any decisions made based on the information provided by our Service. Tax laws are complex and subject to change, and individual circumstances vary significantly.

4. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Notifying us immediately of any unauthorized use

5. Subscription and Payments

Access to premium features requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Automatic renewal of your subscription unless cancelled
• Provide valid payment information

Subscription Plans

• Starter ($149/month): 5 tax analyses per month, downloadable reports
• Professional ($299/month): Unlimited analyses, priority support, all features
• Done-For-You (starting at $5,000): White-glove implementation service with lifetime platform access. Final pricing based on complexity and scope.

Refund Policy

We offer a 14-day money-back guarantee for monthly subscriptions, subject to the following conditions:

• Refunds are only available if you have not downloaded any reports (Strategy Reports, CPA Memos, or Implementation Plans)
• Refunds are only available if you have completed fewer than 2 tax analyses
• Refund requests must be submitted within 14 days of your initial subscription purchase
• Refunds are not available for subscription renewals, only for first-time subscribers

Done-For-You Service (starting at $5,000): Due to the personalized nature and immediate commencement of work, the Done-For-You service is non-refundable once the initial strategy session has been scheduled or any deliverables have been provided. Cancellations requested before work begins may be eligible for a partial refund at our discretion.

To request a refund, contact support@taxpert.io with your account email and reason for the request. We reserve the right to deny refund requests that do not meet the above criteria or that we determine to be fraudulent or abusive.

Cancellation

You may cancel your subscription at any time. Your access will continue until the end of your current billing period. To cancel, contact our support team at support@taxpert.io.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Share your account with others or resell access
• Use the Service to evade taxes or engage in fraud
• Scrape, copy, or redistribute our content without permission

7. Intellectual Property

All content, features, and functionality of the Service are owned by Taxpert OS and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAXPERT OS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify and hold harmless Taxpert OS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the appropriate courts.
